# Terms of Use

* Last updated: 24 August 2026

## 1. About These Terms

These Terms of Use (**Terms**) are a contract between you and **ULTIE LTD** for access to and use of Ultie.

ULTIE LTD is registered in England and Wales under company number 16415880, with its registered office at 124–128 City Road, London, England, EC1V 2NX (**Ultie**, **we**, **us**, or **our**).

By creating an Account or completing another acceptance action linked to these Terms, you agree to them. If you use Ultie for an organization, Club, Team, or Event, you also confirm that you are authorized for the actions you take.

The Privacy Policy is privacy information, not part of the contract merely because it is displayed with these Terms.

### Key product terms

In these Terms:

* **Account** means the authentication and access container controlled by a person. It is separate from a public profile.
* **Global profile** means the cross-Event profile representing a person in Ultie.
* **Family manager** means an adult Account holder authorized to manage one or more child profiles and to act through supported flows.
* **managed child profile** means a profile for a person under 18 that is controlled by a Family manager. It is not a separate Account.
* **Event** means a Tournament, League, or Hat administered through Ultie.
* **Organizer** means the person or organization responsible for administering an Event and making the Event decisions described in these Terms.
* **Club** means the persistent Club profile and membership context in Ultie.
* **Team** means an Event participation record. A Team in a Tournament or League belongs to one Club. A Hat Team exists only within its Hat Event and has no Club relationship.
* **Event player profile** means an Event-specific player participation record.
* **Roster** means the set of players submitted for a Team in an Event.

## 2. Other Terms That May Apply

These Terms govern ordinary platform and Account use. Additional terms apply to particular activities:

* Organizer Terms apply when you act for an Organizer or administer an Event;
* the Organizer Data Processing Agreement applies to Organizer-controlled Personal Data;
* Payment Terms apply when a player, Team manager, or other payer performs a payment-related action;
* the Organizer's Event Refund Policy applies to the relevant paid Event; and
* Event rules or waivers supplied by an Organizer apply where presented for that Event.

If supplemental terms conflict with these Terms for their specific subject, the supplemental terms govern that subject.

## 3. Accounts and Age

### Users aged 18 or over

You may create and manage an Account if you can enter into this contract and are not legally prohibited from using the service.

### Users under 18

Ultie supports profiles for players under 18. The minimum age to control your own Account is 13 by default and 14 in Spain. At or above the applicable threshold, a profile may be controlled by the player or remain managed by a Family manager until the supported handoff is completed. Below the applicable threshold, the profile is managed by a Family manager. Where the player does not control an Account, the player does not accept these Terms merely because an Ultie profile represents them.

Where a player under 18 controls an Account, they may use only the features and actions made available through that route. If the law where they live requires adult permission for that use, a parent or legal guardian must provide it.

Payments, refunds, waivers, and other legally significant Event actions must follow the age, role, profile-management, and authority controls presented for the relevant action. For a Minor, a Family manager signs where the waiver is assigned through the Family-managed route; otherwise a parent or another legally authorized adult signs through the supported external flow without needing an Ultie Account.

### Players below the minimum self-managed Account age

A player below the applicable minimum self-managed Account age cannot create or access an Ultie Account. The player has no login, session, or direct interaction path. An authenticated adult Family manager creates and manages the child profile and performs supported actions in the adult's session.

The Family manager is responsible for having authority to act for the child and for providing accurate information. A managed child profile is not a separate Account and does not make the child a party to these Terms.

## 4. Account Responsibilities

You must:

* provide accurate and current Account information;
* keep your credentials and devices secure;
* use only your own Account;
* notify us promptly if you suspect unauthorized access;
* keep your email and contact route current; and
* use age, authority, and role controls honestly.

You are responsible for actions taken through your Account unless they result from a security failure for which Ultie is responsible or after you have given us reasonable notice of unauthorized access.

You must not sell, transfer, lend, or share an Account. A Team, Club, or Event role should be reassigned through supported role controls rather than by transferring an Account.

## 5. Profiles, Family Accounts, Clubs, Teams, and Events

### Global profile and Event player profiles

A Global profile and an Event player profile are separate records. The Privacy Policy explains Global-profile fields, age-based visibility safeguards, and how visibility or deletion affects Event history and current Club listings.

### Family manager authority

A Family manager must be the child's parent, legal guardian, or another person legally authorized to act. The Family manager must not create a child profile without that authority.

Deleting a Family manager's Account also deletes linked managed-child profiles after the displayed warning, subject to the historical and legal-record rules in the Privacy Policy.

### Club and Team actions

You may invite, accept, remove, or manage a person only where your supported Club or Team role permits it. You must have authority for the people you add or manage, and you may use Club-membership information only for administering the Club. You must not scrape, bulk-copy, or process Club-membership information outside the platform. You must not represent that a Club, Team, or participant has agreed to something merely because you can edit its record.

### Event actions

Organizers control participant admission, Rosters, Event requirements, waiver requirements, Event communications, fees, and refund decisions. Ultie provides the platform but does not guarantee that an Organizer will accept an application, place a person on a Roster, issue a refund, or run an Event as described.

## 6. User and Organizer Content

You retain ownership of content you submit, including profile information, photos, Team or Club content, forms, messages, scores, and Event material, subject to rights held by other people.

You give Ultie a non-exclusive, worldwide, royalty-free license to host, copy, process, display, transmit, format, and technically adapt that content only as needed to:

* provide and secure Ultie;
* follow settings and authorized instructions;
* display public profiles, Events, results, or other content you are authorized to publish;
* support, maintain, and improve the service; and
* comply with law or handle disputes.

This license ends when the content is deleted, except for copies retained under the Privacy Policy, protected backups awaiting overwrite, and historical Event records described in the Privacy Policy.

You must have the rights and authority needed for content you submit. You must not submit confidential information, another person's Personal Data, or intellectual property unless the feature supports it and you are authorized to do so.

Feedback about Ultie may be used without restriction or payment, but we do not claim ownership of unrelated material included in the feedback.

## 7. Acceptable Use

You must not use Ultie to:

* break the law or another person's rights;
* harass, threaten, discriminate against, exploit, or endanger another person;
* impersonate a person or misrepresent authority;
* upload malware or interfere with security, availability, or integrity;
* obtain or disclose another person's credentials or restricted information;
* bypass role, age, payment, visibility, rate, or access controls;
* scrape, copy, or compile data at scale except through an authorized API or written permission;
* probe or test security without written authorization;
* send spam or unauthorized marketing;
* submit unlawful, defamatory, deceptive, or harmful content;
* collect health, medical, special-category, criminal-offence, or similarly high-risk information through a feature not expressly designed and approved for it;
* use public Event data to profile, harass, discriminate against, or endanger participants; or
* use the service in a way that creates unreasonable load or disrupts others.

Legitimate public browsing, ordinary search-engine indexing allowed by our controls, accessibility tools, and authorized integrations are not prohibited by the anti-scraping rule.

## 8. Ultie Intellectual Property

Ultie and its licensors own the service software, design, trademarks, documentation, and other materials we provide, excluding user content.

While these Terms apply, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use Ultie for your personal sports activity or authorized internal Club, Team, or Event activity.

You may not copy, sell, sublicense, reverse engineer, or create a competing dataset or service from protected Ultie material except where applicable law does not allow that restriction or we give written permission.

## 9. Third-Party Services

Ultie may connect to Mollie, Stripe, Google, Facebook, Mapbox, Google Maps, YouTube, or other third-party services. Their terms and privacy information apply to the service they independently provide.

We are not responsible for third-party content or for a third-party service outside the components Ultie controls. We remain responsible for our own obligations and for providers acting as our processors where applicable.

## 10. Availability and Changes to the Service

We aim to keep Ultie available and reliable, but do not promise uninterrupted or error-free service. Maintenance, security work, provider incidents, network failures, force majeure, and changes needed to protect users may affect availability.

We may add, change, or remove features. Where a change materially reduces a paid or agreed Organizer service, the Organizer Terms or applicable Order governs the remedy. For ordinary free Account use, we will give reasonable notice of a material discontinuation where practical.

No statement in these Terms creates a service level unless a written Order or negotiated agreement expressly does so.

## 11. Suspension and Account Restrictions

We may proportionately restrict or suspend an Account, role, content item, or feature where reasonably necessary to:

* protect security, users, children, or the service;
* investigate suspected unauthorized or unlawful activity;
* comply with law, a court order, or provider requirement;
* address a material or repeated breach of these Terms; or
* prevent ongoing harm while a dispute is reviewed.

Where appropriate, we will explain the reason and provide a route to correct or appeal the issue. We may act without advance notice where urgent action is needed or notice would create risk or be legally prohibited.

An Event Organizer or Club may separately remove a role, Roster place, or membership within its authority. That action is not necessarily an Ultie Account suspension.

## 12. Ending Use and Deleting an Account

You may stop using Ultie at any time and may delete your Account through the supported control.

Account deletion immediately ends sessions, sign-in, and ordinary access and removes the active Global profile. You may ask support to restore the Account within 30 calendar days; support will verify your identity before restoration. There is no self-service restoration flow. After that window, deletion is permanent and cannot be reversed. Final deletion ends active Club memberships and removes the person from current Club member listings. Historical Event Rosters, results, statistics, and evidence follow the Privacy Policy, and no historical record opens the deleted Global profile.

We may terminate an Account for a serious or repeated breach, unlawful use, security risk, or where continuing the Account is legally prohibited. Where practical and safe, we will give notice and a reasonable opportunity to export available information or correct the issue.

Terms that by nature need to continue after termination—including intellectual property, retained records, liability, disputes, and governing law—survive.

## 13. Disclaimers

Ultie is an administration platform. Unless a separate written agreement says otherwise, Ultie does not organize the Event, select participants, verify sporting eligibility, provide medical or safety supervision, write the Organizer's waiver, control Event facilities, or decide Event refunds.

Organizers, Clubs, Team managers, and users remain responsible for their own decisions, content, communications, and real-world activities.

Nothing in these Terms excludes a warranty, guarantee, remedy, or other right that applicable consumer law does not allow us to exclude.

## 14. Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot legally be limited.

If you use Ultie as a consumer, we are responsible for loss or damage that is a foreseeable result of our breach of these Terms or failure to use reasonable care and skill. We are not responsible for loss that is not foreseeable, was caused by an Organizer or another user, or results from your unauthorized or unlawful use.

We do not exclude responsibility for damage to a device or digital content caused by defective digital content where applicable law gives you that right and we failed to use reasonable care and skill.

If you act for an Organizer or use Ultie mainly for business purposes, the liability terms in the Organizer Terms or applicable Order govern that use.

## 15. Changes to These Terms

We may update these Terms for legal, security, product, or operational reasons.

We will give reasonable advance notice of a material change. For an existing Account, an updated version applies only after the Account holder actually accepts it through the presented acceptance action. Until then, the previously accepted version continues to govern that Account. A new Account accepts the version presented during Account creation. We do not rely on silent continued use for a material change.

We may make an urgent change sooner where required by law or necessary to address a security or abuse risk. We will explain the change when legally and operationally possible.

The date of the latest update will be displayed, and previous versions will be archived.

## 16. Notices

We may send contractual notices through Ultie, to the email registered to your Account, or through another contact route you provided. You are responsible for keeping that route current.

Questions about these Terms may be sent to <support@ultie.org>. Privacy requests should be sent to <privacy@ultie.org>.

## 17. Governing Law and Disputes

These Terms are governed by the law of England and Wales.

If you are a consumer, this choice does not remove mandatory protections or court rights available where you live. You may bring a claim in any court that applicable consumer law permits.

If you are not a consumer and no supplemental agreement states otherwise, the courts of England and Wales have exclusive jurisdiction.

Before filing a claim, the parties should try in good faith to resolve the issue through support, unless urgent relief or a legal deadline makes that impractical.

## 18. General

If a provision is unlawful or unenforceable, it will be limited or removed only to the extent necessary, and the rest continues.

Our delay in enforcing a provision is not a waiver. You may not transfer this contract without our written agreement, except that consumer rights remain unaffected. We may transfer it as part of a merger, reorganization, financing, or sale of the service if your rights are not materially reduced.

These Terms and the applicable supplemental terms are the agreement for their subject matter. They do not override fraud, mandatory law, or a separately signed negotiated agreement.
